This was a successful, single branch Motor Factors and Spares business with sales of £1.2m and excellent levels of net profit. The company was owned and operated by two working directors and traded from freehold premises. Initially our clients asked us to discreetly approach several large national and regional factors in the UK. This resulted in one modest and highly conditional offer which was of no interest to our clients. Still wishing all marketing of the business to be carried out discreetly we then tried our contacts within the broking and intermediary mergers and acquisitions market. One of these had a client who was building a national chain of motor spares businesses and was very acquisitive mode. A good, all-cash offer was made and accepted to include the freehold and which allowed one of the vendors to retire and the other to remain employed within the business - exactly in line with their sale objectives. A longstanding company with ISO and UKAS accreditations there was strong interest in this business from both trade and investment buyers. After receiving a number of offers an excellent match was found with a larger lab instruments company. The sale included a phased handover/semi-retirement plan for the directors and agreed leasing terms for the premises which were owned within the director's pension fund. Additionally, as members of a larger group, the staff were provided with a greater degree of job security and satisfaction, with the addition of a greater range of products and services. With a unique product which came to the attention of a major international multi-million dollar corporation. Although sales were less than £200k, the UK division of the acquirer were motivated to make a generous all-cash offer, which concludd in a successful sale. |
